CMS Prime advertises a Mauritius licence. The contract puts your account with CMS Prime SLC Inc. in Saint Lucia, a company its own documents call registered, not licensed. Three separate clauses let CMS Prime take profit you have already made, including profit from any trade held under four minutes. It can delay or reject a withdrawal under policies it writes itself, and you get 15 days to complain about anything, counted from the day it happened.

What the documents say

24 clauses worth knowing about, worst first, each quoted from CMS Prime's own files

01

CMS Prime's homepage and licences page both say the company is licensed and regulated by the Financial Services Commission of Mauritius, under certificate GB19024331. The contract you sign says your account is with CMS Prime SLC Inc. in Saint Lucia only, with no connection to the other companies in the group.

Why this matters

The regulator named in the advertising does not supervise the company that holds your money. Your claim would be against a Saint Lucia company, under Saint Lucia law, and clause 41 says the other group companies are not responsible for your account.

By this agreement, you confirm that your account is with CMS Prime SLC Inc., Saint Lucia only and does not have any connection with other associated companies of CMS group.

Set against a regulated standard: FCA (UK), CySEC (Cyprus)

Firms licensed by the FCA or CySEC have to name the licensed entity a client deals with, and its regulator, in the client agreement itself. Here the agreement names CMS Prime SLC Inc. in Saint Lucia and describes it as registered, while the website advertises a Mauritius licence.

CMS Prime is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

  • Worse together with Exhibit 5The entity on your contract sits in Saint Lucia and the deposit route it offers you sits outside any regulatory supervision, so neither the company nor the payment path answers to the regulator in the advertising.
02

If CMS Prime believes you manipulated its prices or platform, clause 19 lets it keep the trades where you owe money and cancel the trades where it owes you. It can do this at its sole discretion, with no notice to you.

Why this matters

CMS Prime can erase your winning trades and still collect on your losing ones, so a disputed week can leave you holding only the losses. It can also keep any money it suspects came from that activity, with no cap and no deadline written into the clause.

Our readingMost agreements let a broker cancel trades it believes were abusive. This clause sorts the trades by who ends up owing money, enforcing the ones in CMS Prime's favour and voiding the ones in yours.

  • Worse together with Exhibit 6Clause 17 supplies the trigger, since trading under four minutes is already named as misuse, and clause 19 then decides which of those trades survive.
  • Worse together with Exhibit 7One clause voids the current trades and the other reaches back for profits from earlier months, so a single finding of manipulation can touch your whole history.
03

CMS Prime says a withdrawal is typically processed within one to three business days, then gives itself the right to delay or reject any request that does not comply with its policies or needs more verification. It writes those policies and can change them at any time without telling you.

Why this matters

Once a request goes to verification, no clause names a day by which your money has to reach you. Asking for a withdrawal also counts as your confirmation that the balance is correct, which gives up your right to argue about it later.

What it costsA withdrawal asked for on a Monday is typically paid by Thursday. Sent to verification instead, the contract names no day by which it has to be paid at all.

Set against a regulated standard: FCA (UK), CySEC (Cyprus)

Firms licensed by the FCA or CySEC have to return a retail client's money promptly and keep it separate from the firm's own. This contract sets no final deadline once a request is held, and lets CMS Prime reject it under policies it writes itself.

CMS Prime is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

  • Worse together with Exhibit 4A withdrawal can be held with no deadline while your right to complain about it dies 15 days after the problem started.
04

You get 15 days to tell CMS Prime about any problem with your trades, deposits or withdrawals. The 15 days run from the date the problem happened, not the date you noticed it. Statements of account become final 24 hours after delivery.

Why this matters

Miss the window and CMS Prime says it will not investigate. The clock starts on the day the issue occurs, so a problem you spot a month later is already out of time, while CMS Prime keeps an open ended right to correct errors whenever it finds them.

Exhibit 4CriticalHarder than usual15 days

Should you have any issues with your trading system, trades, deposits, withdrawals or any issues you are facing as a client of CMS Prime, you have 15 days to bring this to our notice from the date the issue has occurred, for further investigation and resolving of the issue.

What it costsA problem that happens on 1 March has to be reported by 16 March. Find it when the statement arrives in April and the 15 days have already run out.

Set against a regulated standard: FCA (UK), CySEC (Cyprus)

Firms licensed by the FCA or CySEC have to handle a retail complaint within periods measured in weeks, and a client keeps the right to complain for years rather than days. This contract ends your right to have the issue looked at 15 days after it happened.

You may be asked to deposit with CMS Prime's clearing agents rather than with CMS Prime. The terms of business call that a private agreement that is not subject to any regulatory supervision in any jurisdiction. Money CMS Prime holds for you may also be used to clear your trades with other counterparties.

Why this matters

No document says your deposit is kept separate from the company's own money, and no compensation scheme is named anywhere. If your money goes to an agent, the contract calls that a direct agreement between you and the agent, and you give up future claims against CMS Prime and the agent alike.

Set against a regulated standard: FCA (UK), CySEC (Cyprus), ASIC (Australia)

Firms licensed by the FCA, CySEC or ASIC have to hold retail client money in segregated accounts and tell clients where it is held. These documents name no segregated account and no compensation scheme, and offer a deposit route the broker itself describes as outside regulatory supervision.

CMS Prime is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

Our readingA clause telling you in writing that the route your deposit takes sits outside regulatory supervision in every jurisdiction is unusual even among offshore brokers, which normally say nothing on the point. The only mention of segregated funds in the whole contract is a power to move them.

  • Worse together with Exhibit 23Money that is not described as segregated is also pledged to CMS Prime as security and can be moved between your accounts without notice.
06

Hold a trade for less than four minutes and CMS Prime can take the profit from it. Clause 17 also lets it withhold your realised profits whenever you hold several positions on the same symbol.

Why this matters

Short holding times and hedging are ordinary trading, and both put your profit at risk here. CMS Prime decides what counts as misuse of the system, and the clause sets no limit on how much it can take.

Exhibit 6CriticalRarely seen4

What it costsA trade opened at 10:00 and closed at 10:03 sits inside the four minute window. The profit on it can be taken at CMS Prime's discretion.

Our readingA four minute floor is far shorter than the windows most agreements use to describe abusive scalping. It is also written as a right to take the profit rather than as a ban on placing the trade, so you can make the trade and lose the gain.

CMS Prime can set a fee after you deposit and charge it without notice

Clause 5 lets CMS Prime charge commissions and service fees it establishes from time to time, with no prior notice to you. The overnight charge on a held position has no figure in any document, and on Wednesday nights it triples. If the account falls below zero you owe the shortfall, with interest at 3% over the Bank of America prime rate.

Cost disclosure3 clauses flagged

If your account falls below zero, you owe CMS Prime the shortfall. Clause 5 adds interest on it at three percent over the Bank of America prime rate, or the highest rate the law allows, whichever is higher.

In plain words

Negative balance protection is a limit that stops you owing more than you put in. Without it, one fast market move can leave you owing the broker money on top of your deposit.

Why this matters

The Core account offers leverage up to 1:500, so one gap in the market can take you past your deposit and into debt to CMS Prime. That debt then carries interest, and clause 34 puts its legal costs and fees on you as well.

Exhibit 8CriticalHarder than usual3%

What it costsOn a $10,000 shortfall, the 3% margin over the prime rate alone adds $300 a year to what you owe, before the prime rate itself is counted.

Set against a regulated standard: FCA (UK), CySEC (Cyprus), ESMA (EU)

Retail clients of firms licensed by the FCA or CySEC, or operating under ESMA rules, get negative balance protection, so a losing position cannot take them below zero. This contract puts the shortfall on you and charges interest on it.

CMS Prime is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

  • Worse together with Exhibit 15You carry the shortfall yourself while the one tool that caps a loss, the stop loss order, can be refused or cancelled by CMS Prime.

CMS Prime can charge whatever commissions and service fees it establishes from time to time, without giving you prior notice. The overnight charge for holding a position has no figure in any document, and on Wednesday nights it runs at three times the normal rate.

Why this matters

You cannot work out what trading will cost you from anything CMS Prime publishes. To learn the charges on your own account, clause 10 tells you to contact your account manager.

Set against a regulated standard: FCA (UK), CySEC (Cyprus)

Firms licensed by the FCA or CySEC have to give a retail client the costs and charges of a trade before the client trades. This contract reserves the right to introduce fees with no prior notice and points you to an account manager for the figures.

CMS Prime is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

CMS Prime charges no withdrawal fee of its own. It does reserve the right to pass on whatever the bank or payment provider charges on your deposit and on your withdrawal, and intermediary bank and conversion fees fall on you as well.

Why this matters

The payment methods page names every way to fund the account and not one fee, so these costs appear only in a document in the legal section. You will not know the amount until it has already come out.

Exhibit 10WarningStandard wording

During a deposit or withdrawal transaction, CMS Prime reserves the rights to pass on the transaction charges levied by the bank or Payment Service Provider (PSP) to the client.

Three separate clauses let CMS Prime take profit you have already made

Clause 17 lets CMS Prime take the profit from any trade held under four minutes, and withhold realised profits when you hold several positions on one symbol. Clause 18 lets it retrieve historical profits at any point in the relationship. Clause 19 lets it void the trades where it owes you while enforcing the trades where you owe it.

Profit at risk2 clauses flagged

CMS Prime can reach into your account and take profits you made months ago, if it decides they came from what clause 18 calls abuse of liquidity. The clause lets it make that decision at any point during your trading relationship.

Why this matters

Nothing limits how far back it can go, so profits from earlier months can be removed from your balance. The contract never defines abuse of liquidity, and CMS Prime alone decides whether your trading met it.

Exhibit 7CriticalHarder than usual

If your account is in deficit when you place an order, CMS Prime can elect to take the profit on that trade for itself. The clause says it exists to stop trading in accounts that are already in deficit. Losses on the same trades stay with you and with the broker who introduced you.

In plain words

Jointly and severally liable means each person can be made to pay the whole amount alone. If the broker treats two accounts as linked, it can ask either holder for all of it, not half each.

Why this matters

A trade that digs you out of a negative balance can be claimed by CMS Prime, while a trade that deepens the hole stays yours. The choice is CMS Prime's and the clause sets no deadline for making it.

Exhibit 19WarningHarder than usual

Subject to applicable laws and rules, and in order to prevent non-permitted trading in debit/deficit accounts, profits on any trades executed without CMS Prime’ express permission, for a Customer account that is debit/deficit at the time the order is placed, shall be for CMS Prime’ account if CMS Prime in its discretion so elects.

The advertising names a regulator the contract does not

CMS Prime's homepage and licences page both say the company is licensed and regulated by the Financial Services Commission of Mauritius. The contract says your account is with CMS Prime SLC Inc. in Saint Lucia only, and clause 3 calls that company registered rather than licensed. The Arabic site promises transparency and then links to 7 agreements that all open in English.

Language arbitrage1 clause flagged

CMS Prime markets in Arabic, and its Arabic legal page promises transparency and protection for every client's rights. All 7 documents it then links to open in English, and the Arabic addresses for the terms of business and the conflict of interest policy lead back to the Arabic home page.

Why this matters

You are asked to accept agreements you may not be able to read, including the 46 clause contract that decides what happens to your money. Nothing on the Arabic page warns you that the documents are in English only.

Every CMS Prime withdrawal is a request the firm can delay or refuse

CMS Prime says a withdrawal is typically processed within one to three business days, then reserves the right to delay or reject one under policies it writes itself. No clause names a final deadline once a request goes to verification. Close the account and the payout deadline is 10 working days, up from four in the June 2025 version of the same clause.

Exit conditions1 clause flagged

After you close your account, CMS Prime has 10 working days to wire what is left. An earlier copy of the same clause, from June 2025, said four working days.

Why this matters

Six more working days can pass before your money is sent. The payout is now also conditional on CMS Prime applying its payment and charges clauses first, and the clause gives no reason for the change.

Exhibit 11WarningHarder than usual10 working days

CMS Prime offers a bonus in one line and publishes no bonus terms

One sentence in the terms of business says a bonus can be removed once your balance reaches the 30% stop out level, or at CMS Prime's discretion. No bonus document exists to set out volume requirements or what happens to profit made with the bonus. The credit can go at the moment a losing position needs the margin.

Credit terms1 clause flagged

If your account carries a bonus, CMS Prime can remove it once your balance reaches the stop out level of 30%, or simply at its own discretion. No bonus terms document exists to tell you anything more.

Why this matters

A bonus counted in your balance can disappear at the moment a losing position needs it most. Nothing published tells you the volume you must trade, whether a bonus locks your deposit, or what happens to profit made with it.

If bonus is applicable for the account, you acknowledge that bonus will be removed once account balance reaches stop out level or at the discretion of CMS Prime.

CMS Prime can change the terms, your stop loss and your balance without telling you

CMS Prime can amend the contract at any time without notice, and clause 36 applies the change to open positions and unexecuted orders. It can refuse your stop loss order or cancel one during trading hours. A new clause 11 lets it adjust your balance at its sole discretion after a corporate action.

Control of the account5 clauses flagged

CMS Prime can amend the terms at any time without notice to you, and carrying on using the website or the platform counts as your approval. Clause 36 applies those amendments to your open positions and unexecuted orders too.

Why this matters

Terms you accepted can change while a trade is running, and you are expected to find out by rereading the website. The online trading agreement states the other half of the deal: you may not amend it, CMS Prime may.

CMS Prime can refuse a stop loss or limit order on any trade, and can cancel one it has already accepted during market hours. It can also impose a stop loss on your account if it believes you will not pay something you owe.

Exhibit 15WarningRarely seen

We reserve the right to decline the acceptance of any stop loss orders or limit orders for any trades. In the event that such orders are accepted, we retain the discretion to place or cancel them at any time during the trading hours of the exchange where the underlying instrument is traded.

CMS Prime gives you 15 days to report any issue with trades, deposits or withdrawals, measured from the date the issue occurred rather than the date you found it. Statements of account become final and unchallengeable 24 hours after delivery. The complaints procedure CMS Prime publishes mentions neither deadline.

Complaint deadlines1 clause flagged

CMS Prime publishes a complaints procedure that asks for the date and time your issue arose, and promises a first reply within three business days. It never tells you that a separate document ends your right to have the issue investigated 15 days after it happened.

Why this matters

Read the complaints procedure before writing in and you learn the process but not the deadline that can defeat you. Every stage also stays inside CMS Prime, with no ombudsman or regulator named to take the matter further.

Forum and law1 clause flagged

You have three months to bring any claim, counted from when the cause of action arose. Clause 42 lets CMS Prime have the case heard in Saint Lucia or in any other court it considers appropriate, and you agree in advance not to object.

Who holds the other side1 clause flagged

CMS Prime can act as the other side of your trade and hold the position opposite yours. It can also, in its absolute discretion, quote different prices to different clients and trade at different prices with different clients.

Why this matters

Your loss can be CMS Prime's gain on the same trade, and the price you see is the one it chooses to show you. Its own quotes are the only reference, because clause 9 says it relies on its own knowledge of market prices.

Firms licensed by the FCA or CySEC have to test a client's experience, knowledge and portfolio size before treating them as professional, and most retail clients do not pass. This document asks you to confirm the status instead of testing it.

CMS Prime is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

Our readingA blanket acknowledgment that every account holder is experienced or professional is unusual. It is normally a status a firm has to assess and record client by client, against a test the client can fail.

A deposit can wait for proof CMS Prime never describes

CMS Prime can require proof of payment before crediting your deposit, and can hold it for due diligence checks. No document lists the acceptable documents or sets a deadline for the decision. Deposits have to come from an account in your own name, so a payment from a relative is refused.

Verification1 clause flagged

CMS Prime can ask for proof of payment before it credits your deposit, and can hold the deposit for checks under its due diligence requirements. No document says what proof is acceptable or how long a check takes.

Why this matters

Your money can sit uncredited with no deadline for a decision. Deposits must also come from an account in your own name, so a payment sent by a family member is refused.

Exhibit 24NoticeStandard wordingNew

Deposits may be subject to verification in line with the Company’s due diligence requirements, and the Company reserves the right to request proof of payment before crediting the account.

What changed quietly

This is our first reading of CMS Prime, so there is nothing to compare it against. The contract itself did move since June 2025: CMS Prime added a payment clause and a corporate actions clause, and renamed your counterparty from Capital Market Solutions to CMS Prime SLC Inc. The deadline for paying your balance back after you close the account went from four working days to 10.

  • REWRITTENClause 37

The deadline for paying your balance back after you close the account went from four working days to 10, and the payout now depends on CMS Prime applying its payment and charges clauses first.

Upon termination with observing to Clause 4 & 5 all outstanding contracts and Positions will be liquidated and any balance thereafter remaining in Customer’s Account will be repaid to Customer by wire transfer not later than 10 working days after the Agreement terminates.
  • ADDEDClause 4

A payment clause is new in this version: it states a processing time for the first time, and in the same breath gives CMS Prime the right to delay or reject a withdrawal.

Withdrawals will only be processed to accounts held in the same name as the CMS Prime trading account and via the same payment method used for deposit, where possible. Withdrawal requests must be submitted through the Client Portal and are typically processed within one to three business days, subject to verification. CMS Prime does not charge internal withdrawal fees; however, external bank or payment provider charges may apply. The Company reserves the right to delay or reject withdrawals that do not comply with its policies or require additional verification.
  • ADDEDClause 11

A corporate actions clause is new, letting CMS Prime adjust your account balance at its sole discretion and without prior notice.

In the event that a client holds open positions in any underlying asset on the date a Corporate Action becomes effective, the Company reserves the right, at its sole discretion, to make adjustments to the Client’s trading account in order to reflect the economic impact of the Corporate Action.
  • REWRITTENClause 41

The company you contract with was renamed from Capital Market Solutions to CMS Prime SLC Inc., and clause 3 dropped the words describing CMS Prime as a brand of Capital Market Solutions.

By this agreement, you confirm that your account is with CMS Prime SLC Inc., Saint Lucia only and does not have any connection with other associated companies of CMS group.
  • REWRITTENClause g

Capital Market Solutions was removed from the deposit route, while the sentence placing that route outside regulatory supervision in any jurisdiction stayed in place.

You may choose to make a deposit with CMS Prime or Clearing Agents of CMS Prime.

The documents this reading is based on

17 files, all published by CMS Prime. Each shows when we read it and a fingerprint of its wording.

WIKILIX keeps the copy of each file it read, and does not republish it: what is published is the fingerprint of its wording. Download the file yourself and hash its text, lowercased with runs of whitespace collapsed, and a matching fingerprint means the wording quoted above is still the wording CMS Prime publishes.

Who the contract is with

CMS Prime SLC Inc.

Clause 41 settles it: your account is with CMS Prime SLC Inc. in Saint Lucia only, and the other companies in the CMS group are not responsible for it. Clause 3 describes that company as registered under the laws of Saint Lucia, not licensed. The website says it is operated for four entities, CMS PRIME INC, DUBAI REP OFFICE, CMS PRIME Ltd and CMS PRIME SLC INC., and that it serves solely as a marketing platform. The licences page lists one Mauritius licence and two registrations without saying which entity holds which, while the contract you sign names only the Saint Lucia company.

Quotations are copied verbatim from the documents named above, with the clause number and the page each one came from. Where a clause is quoted in another language, the original is shown first and the English is a translation.

The plain-language parts, what a clause means for a client, how ordinary it is, and how it reads against a regulated standard, are WIKILIX's analysis and are labelled as such on every card. This is a reading of public documents, not legal advice and not an allegation of wrongdoing.

In fairness, and what we could not check

A reader who knows the edges of the work can trust the middle of it

CMS Prime publishes a complaints handling procedure that promises a first reply within three business days, which many offshore brokers do not publish at all. Every legal document appears twice, as a PDF and as a readable web page, so nothing is locked inside a file that will not open. No dormancy fee, inactivity fee or account maintenance fee appears anywhere in the nine documents we read. The risk disclosure runs to 15 numbered sections and states plainly that you may lose more than you deposited. The current contract also added a payment clause that at least states a withdrawal processing time, where the June 2025 version stated none.

The Arabic addresses for the terms of business and the conflict of interest policy both lead to the Arabic home page, so neither policy exists in Arabic to read. The PDF files of the complaints procedure and the online trading agreement would not open, so we read both on CMS Prime's own web pages, and every quotation credited to them comes from there. The PDFs and the web pages carry the same text, so the document count here covers the same documents published in two formats. No earlier copy exists of the risk disclosure, the conflict of interest policy or the online trading agreement, so we cannot say when CMS Prime last changed those three. We did not see the account opening flow or the client portal, so any term shown only inside the portal is not covered here.

How to check any of this yourself

Every quote above links to the CMS Prime file it came from. This is what to do with it.

Open the three stepsFind the words in the source, work out the fingerprint, and read what a difference does and does not prove.

Open the source and search for the words

Every quote has a link under it. Open the file, or the web page, and search it for the words we quote. The clause number next to the quote tells you where to look.

If the words are not there any more, the source may have changed after we read it. That is worth knowing too. We keep the date we read it, and a code worked out from its wording, so the quote stays checkable.

What a fingerprint is

A fingerprint is a code worked out from what a source says. Change one word and the code changes completely. We keep two codes for every file we read, and the panel on each source shows both.

The first is the code of the exact file we downloaded. The second is the code of its wording alone, with capital letters lowered and runs of spaces collapsed. When the same words are saved as a new file, the first code changes and the second one stays the same.

Only the first code can be worked out on your own computer. Save the file, then run one of these, putting the name of the file you saved where the example is. The panel on each source prints the command with that source's real file name already in it.

macOS or Linux:
  shasum -a 256 the-file-you-saved.pdf

Windows:
  certutil -hashfile the-file-you-saved.pdf SHA256

The two codes are different from each other, and they are not meant to match. Comparing one against the other proves nothing.

What a difference means, and what it does not

A different file code on its own proves nothing. A PDF saved again with a new date inside it is a new file saying exactly the same thing.

A different wording code means the words themselves changed. That is the one that matters, and it is why we keep it.

Even then, a change is not proof of bad faith. Companies update their documents. What this report says is what the document said on the day we read it, and every quote carries that date.

A source that is a web page and not a file has no file to save, so only the code of its wording is shown.

How this report is made

Every clause quoted above comes from a document CMS Prime publishes on its own website, downloaded and hashed on the date shown, with the clause number and page recorded so any reader can check it. We do not allege anything the documents do not say, and we do not judge CMS Prime on anything other than its own published terms and its own public marketing. Where a clause has a qualifier that softens it, the report says so. Last read Oct 3, 2026.

If you represent CMS Prime and a clause has changed, been withdrawn, or is being read out of context, tell us and we will re-read the documents and update this page. Corrections from the broker are welcome and are published with the reading they change. Contact us.

This is a reading of a contract, not legal advice and not a ruling on CMS Prime. Whether its licence is real and current is a separate check on the broker profile.
