21 clauses worth knowing about, worst first, each quoted from Ventum Financial's own files

01

Ventum charges $150 a year on an account it treats as inactive. It can apply that charge to past periods when it decides to, and no Ventum document tells you what makes your account inactive.

Why this matters

A small account can be drained by this fee while you are not looking. The bill can also arrive for years that have already passed, and nothing caps how far back Ventum can go.

What it costsOn a $1,000 account that sits still, $150 a year is 15% of the balance gone in the first year, before any other charge.

Set against a regulated standard: FCA (UK), CySEC (Cyprus)

Firms licensed by the FCA or by CySEC must set out their charges to a retail client before the service begins, in a form the client can keep. Ventum's schedule prices an inactive account at $150 a year and adds that it may charge the fee on a retroactive basis at its discretion.

Ventum Financial is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

Our readingInactivity fees are common. A fee the firm can decide to charge for periods already past, in a schedule that never defines inactivity, is not. You cannot work out in advance what you owe, or when the clock started.

  • Worse together with Exhibit 7The same silence that feeds this fee starts the process that sends your balance to the province.
  • Worse together with Exhibit 2The schedule carrying this fee is the one no menu on Ventum's site links to.
02

Ventum publishes a fee schedule with real amounts on it, $150 to move your account to another firm and $125 a year to hold an RRSP. No menu and no footer on ventumfinancial.com links to it, and it is not in the footer list of eleven legal documents.

Why this matters

You cannot price Ventum before you sign. The relationship disclosure sends you to your advisor for the current schedule instead of to the page where it already sits.

Exhibit 2WarningHarder than usual$125

Clause Fees for Specialized Services in Fees for Specialized Services

Set against a regulated standard: FCA (UK)

Firms licensed by the FCA must give a retail client the charges for a service before the service starts. Ventum's schedule took effect in July 2025 and sits on a page its own menus do not reach.

Ventum Financial is not licensed by this regulator, so this is a comparison of practice, not a finding of any breach.

03

When your money changes currency, Ventum acts as principal, sets the rate itself, and earns revenue on the gap between the market rate and the rate you get. That revenue comes on top of the commission, and no Ventum document gives the markup.

Why this matters

Every US dollar trade you settle in a Canadian dollar account pays this, and you cannot see the amount. Ventum can also convert your currency on its own initiative when it considers that advisable.

Exhibit 3WarningStandard wording

In all such transactions and at any time a conversion of currency is made, the firm will act as principal in converting the currency at rates established or determined by the firm or by parties the firm conducts business with.

Set against a regulated standard: FCA (UK), ESMA (EU)

Firms under FCA and ESMA rules must give a retail client the costs of a transaction before they trade, including the cost of converting currency. Ventum's schedule says the firm converts as principal at a rate it establishes, and may earn revenue on the difference.

Ventum Financial is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

04

You have 45 days to tell Ventum about a transaction you do not recall or an error you spot, and 48 hours on commodity futures. Ventum says that if you do not, your legal claim may be affected.

Why this matters

48 hours is not long for a futures account you check once a week. Ventum's complaint handling page never mentions either deadline, so a client who reads it learns the firm's timetable and not their own.

Exhibit 4WarningHarder than usual45 days

For securities in your accounts, clients must notify Ventum within 45 days if you see any transactions that you do not recall or identify any errors.

Set against a regulated standard: FCA (UK)

Someone complaining about an FCA licensed firm has six years from the event, or three years from when they realised, to take the complaint to the independent ombudsman. Ventum's own window to query a transaction is 45 days, and 48 hours on futures.

Ventum Financial is not licensed by this regulator, so this is a comparison of practice, not a finding of any breach.

05

Ventum tells you to review your client account agreement because it holds the contractual terms for your account. That agreement is not on its website. Twelve more documents arrive in a welcome package, after the account is open.

Why this matters

You cannot read what you are signing before you sign it. The risk disclosure, the leverage disclosure, the Statement of Policies and the client fee schedule you will be held to all arrive the same way.

Three times, one Ventum document says the opposite of another

Ventum's best execution policy, dated July 2026, says it trades fixed income for retail accounts on an agency basis only. Its conflicts disclosure says it usually sells those bonds as principal and profits by doing so. The same policy says Ventum passes no execution cost to clients, while the fee disclosure charges you exchange and ticket charges on every trade. Its privacy policy promises no sharing without your consent, then lists the sharing that needs none.

Documents at odds2 clauses flagged

Ventum's best execution policy says it does not pass the cost of trade execution to clients. Its relationship disclosure says every trade carries a negotiated commission plus certain costs of the transaction, including ticket charges or exchange fees.

Why this matters

Exchange and ticket charges are the cost of execution. You pay them on each trade, whatever the other page says.

Ventum's price list exists, and no menu on its site reaches it

Ventum Financial publishes a fee schedule dated July 2025 with real amounts on it, $150 to move your account out and $125 a year to hold an RRSP. No menu and no footer on ventumfinancial.com links to it. On top of that, Ventum sets your currency conversion rate as principal and keeps the difference, prints bond markups only as a net price, and negotiates the commissions and account fees one client at a time.

Cost disclosure3 clauses flagged

Buy a bond from Ventum and your confirmation shows one net price. Ventum does not print the markup inside it, and the relationship disclosure says the amount is available on request.

Why this matters

Ventum will not take a stop loss order, and will not follow your resting one

Ventum Financial does not accept stop loss orders at all, so a stop limit is your only automatic exit. Once an unfilled order rests on the default marketplace, Ventum says it will not watch other marketplaces or move it. Its routers never check US prices for a stock listed in both countries, and an instruction you send by email is not acted on.

How your order is handled3 clauses flagged

You cannot leave a stop loss order with Ventum. It says the order type can harm market integrity and can give clients a worse price in volatile markets, so it does not take them at all.

Why this matters

Your automatic exit has to be a stop limit instead. A stop limit does not fill if the price jumps past your limit, so in a fast fall you may still be holding the position.

Exhibit 11WarningRarely seen

Because of the negative impact which Stop Loss Orders can have on market integrity and because they may have a negative impact on the price our clients receive in volatile markets, Ventum does not accept Stop Loss Orders.

Our readingMost dealers accept stop loss orders and route them. Taking the order type off the menu leaves the stop limit as the only automatic exit, and a stop limit can be skipped over in a gapping market.

Once the unfilled part of your order sits on Ventum's default marketplace, Ventum says it will not monitor prices on other marketplaces or move your order. Its smart routers also never check US markets for a stock listed in both countries.

Why this matters

A better price on another venue can come and go while your order waits in one book. On a stock listed in Toronto and New York, nobody looks at the US price for you.

Its complaint handling page never mentions either deadline. The website terms also make you fully liable for anything done with your login, and cap what Ventum can owe you for the site at $100.

Your side of the deadline2 clauses flagged

Ventum's website terms make you fully responsible for every activity under your username and password, and you indemnify Ventum against claims from anyone else using them. Ventum has no duty to check who is logging in.

Who the contract is with

Ventum Financial Corp.

You contract with Ventum Financial Corp., a Vancouver company registered to advise and trade in securities, futures contracts and futures contract options in every province and territory of Canada. Its own documents say it is a CIRO member and a CIPF participant. Two subsidiaries sit beside it: Ventum Financial (US) Corp. and an insurance company. The insurance business is a separate contract, and the documents name that subsidiary three ways. The relationship disclosure calls it Ventum Financial Services Corp., the privacy policy calls it Ventum Insurance Services Corp., and the insurance site calls it Ventum Insurance Services Corp. Inc.

Quotations are copied verbatim from the documents named above, with the clause number and the page each one came from. Where a clause is quoted in another language, the original is shown first and the English is a translation.

The plain-language parts, what a clause means for a client, how ordinary it is, and how it reads against a regulated standard, are WIKILIX's analysis and are labelled as such on every card. This is a reading of public documents, not legal advice and not an allegation of wrongdoing.

In fairness, and what we could not check

A reader who knows the edges of the work can trust the middle of it

Ventum names its protections instead of implying them. Fully paid securities are kept separate from the firm's own, and CIPF covers your general account up to $1 million if Ventum fails, with separate coverage for registered plans. The complaint page names a Designated Complaints Officer, gives a direct phone number, and promises written acknowledgement in 5 business days and an answer in 90 days. Ventum also promises at least 60 days written notice before any new fee, and its best execution policy lists every marketplace it routes orders to.

This review covers ten of the documents Ventum publishes in full. It covers parts of the fee schedule: its heading, its footnotes, its currency section and selected charges, not every line. It does not cover the Trade Matching Statement or the five declarations of trust for registered plans. The documents a client signs or receives at account opening are not published: the client account agreement, the client fee schedule, the Statement of Policies, and the risk and leverage disclosure statements. Only one earlier copy of any document exists to compare against, the website terms as they stood in April 2026.

How to check any of this yourself

Every quote above links to the Ventum Financial file it came from. This is what to do with it.

Open the three stepsFind the words in the source, work out the fingerprint, and read what a difference does and does not prove.

Open the source and search for the words

Every quote has a link under it. Open the file, or the web page, and search it for the words we quote. The clause number next to the quote tells you where to look.

If the words are not there any more, the source may have changed after we read it. That is worth knowing too. We keep the date we read it, and a code worked out from its wording, so the quote stays checkable.

What a fingerprint is

A fingerprint is a code worked out from what a source says. Change one word and the code changes completely. We keep two codes for every file we read, and the panel on each source shows both.

The first is the code of the exact file we downloaded. The second is the code of its wording alone, with capital letters lowered and runs of spaces collapsed. When the same words are saved as a new file, the first code changes and the second one stays the same.

Only the first code can be worked out on your own computer. Save the file, then run one of these, putting the name of the file you saved where the example is. The panel on each source prints the command with that source's real file name already in it.

macOS or Linux:
  shasum -a 256 the-file-you-saved.pdf

Windows:
  certutil -hashfile the-file-you-saved.pdf SHA256

The two codes are different from each other, and they are not meant to match. Comparing one against the other proves nothing.

What a difference means, and what it does not

A different file code on its own proves nothing. A PDF saved again with a new date inside it is a new file saying exactly the same thing.

A different wording code means the words themselves changed. That is the one that matters, and it is why we keep it.

Even then, a change is not proof of bad faith. Companies update their documents. What this report says is what the document said on the day we read it, and every quote carries that date.

A source that is a web page and not a file has no file to save, so only the code of its wording is shown.

How this report is made

Every clause quoted above comes from a document Ventum Financial publishes on its own website, downloaded and hashed on the date shown, with the clause number and page recorded so any reader can check it. We do not allege anything the documents do not say, and we do not judge Ventum Financial on anything other than its own published terms and its own public marketing. Where a clause has a qualifier that softens it, the report says so. Last read Oct 14, 2026.

If you represent Ventum Financial and a clause has changed, been withdrawn, or is being read out of context, tell us and we will re-read the documents and update this page. Corrections from the broker are welcome and are published with the reading they change. Contact us.

This is a reading of a contract, not legal advice and not a ruling on Ventum Financial. Whether its licence is real and current is a separate check on the broker profile.
