VPFX advertises negative balance protection, then makes you cover the deficit. It can void the trades you profited on and enforce the ones you lost. Any withdrawal can be declined at its absolute discretion, with no deadline to pay you. Its restricted list bars 32 countries, including India, while the site is served in Hindi.

3 of these 4 figures come from a clause we rate critical, which means it can take your money or your profit rather than only delay it.

What the documents say

20 clauses worth knowing about, worst first, each quoted from VPFX's own files

01

If VPFX suspects you broke its market abuse rules, clause 39.e lets it void every trade you profited on. Trades you lost on stay enforced against you.

Why this matters

You carry the burden of proof, not VPFX. Until you produce evidence that satisfies it, your profit stays cancelled and your losses stay on the account.

Exhibit 1CriticalRarely seen

Enforce the Transaction or Transactions against you if it is a Transaction or Transactions under which you have incurred a loss.
Clause 39.e in Client Agreement, p.49
Downloaded from the broker's site on Open the reference

Our readingVoiding only the profitable half of the same set of trades is the unusual part. The clause also lets VPFX act without telling you why, and puts the burden of disproving its suspicion on you.

02

VPFX lists negative balance protection among the benefits on its forex page. The contract says you cover any deficit after VPFX closes your positions at a 20% margin level.

In plain words

Negative balance protection is a limit that stops you owing more than you put in. Without it, one fast market move can leave you owing the broker money on top of your deposit.

Why this matters

You can end up owing VPFX more than you ever deposited. Negative balance protection means a broker writes that shortfall off, and this contract puts it on you instead.

Exhibit 2CriticalHarder than usual20%

any deficit that may result after liquidation will be handled and covered by the client
Clause 9.i in Client Agreement, p.15
Downloaded from the broker's site on Open the reference

What it costsWith $1,000 of margin in use, VPFX may hold your positions until your equity falls to $200.

Set against a regulated standard: FCA (UK), CySEC (Cyprus), ESMA (EU)

Firms licensed by the FCA, CySEC and others under ESMA rules must give retail clients negative balance protection, so a retail account cannot fall below zero. This contract makes you cover the deficit.

VPFX is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

  • Worse together with Exhibit 8The deficit you are told to cover grows in the gap between the 50% stop-out advertised and the 20% the contract allows.
03

VPFX bars residents of 32 named countries, including India, Pakistan, Nigeria, South Africa, Vietnam and the Philippines. The footer on every page names eight.

Why this matters

Living in one of those countries makes you ineligible, and VPFX still serves its own site in Hindi, Filipino and Vietnamese. If VPFX acts on it later, clause 23.l lets it decline your withdrawal and 13.a lets it suspend the account.

Exhibit 3CriticalRarely seen32

Additionally, due to ongoing and significant risks related to money laundering and financing of terrorism (ML/FT), we do not offer accounts to residents of sanctioned countries with deficiencies that pose a threat to the international financial system.
Quoted in Restricted Countries, p.2
Read from the broker's site on Open the reference

Our readingBlocking sanctioned states is ordinary. Putting India, Nigeria, South Africa, Vietnam and the Philippines, all large retail trading markets, under one heading about money laundering deficiencies is not, and the short footer list keeps it out of sight.

04

VPFX can decline your withdrawal request at its absolute discretion. Clause 23.l names no grounds it has to meet, and no document gives VPFX a deadline to pay you.

Why this matters

Your money can sit unpaid while VPFX asks for more documents, and no clock runs against it. The policy only tells you to expect 2 to 7 business days once the money is sent.

Exhibit 4CriticalHarder than usual7 working days

Notwithstanding any other term in the Agreement, the Company reserves the right, in its absolute discretion, to decline a withdrawal request from the Client and the Company has the right to request additional information or documents.

05

The safety of funds page says VPFX will not use your money in any investment. Clause 15.f gives it the right to pledge or invest the property held for your account, alongside other clients' property.

Why this matters

If a third party holding your pledged collateral fails, clause 24.g leaves you with an unsecured claim and VPFX accepting no responsibility for the loss.

Exhibit 5CriticalRarely seen

The Client grants to the Company the right to pledge, repledge, hypothecate, or invest either separately or with the property of other clients, any securities or other property held by the Company for the Client’s account(s) or as collateral
Clause 15.f in Client Agreement, p.21
Downloaded from the broker's site on Open the reference
Set against a regulated standard: FCA (UK), CySEC (Cyprus)

Firms licensed by the FCA and CySEC must hold retail client money separately and may not use it for their own account. This contract permits pooling, overnight deposits with the interest kept, and pledging of client property.

VPFX is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

Our readingRe-pledging client property is a margin lending device from institutional broking. In a retail trading agreement it means your collateral can be handed to a third party, and the contract then gives you only an unsecured claim if that party fails.

06

You get two business days to tell VPFX in writing that a trade confirmation is wrong. After that clause 11.c treats it as conclusive and binding on you.

In plain words

A manifest error means an obvious mistake by the broker.

Why this matters

VPFX gives itself three business days just to acknowledge a complaint. Clause 17.e then bars any action you bring more than three months after the cause arose.

Exhibit 6CriticalHarder than usual2 working days

Trade confirmations shall, in the absence of manifest error, be deemed conclusive and binding unless the Client notifies the Company in writing to the contrary within two (2) Business Days following the Day of receipt of the said Trade Confirmation.

Downloaded from the broker's site on Open the reference
Set against a regulated standard: FCA (UK), CySEC (Cyprus)

Firms licensed by the FCA and CySEC must give retail clients a free, independent complaints scheme to escalate to. VPFX points you to its own regulator in Labuan, with six months from its final response to do it.

VPFX is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

Two clauses let VPFX cancel what you made and keep what you lost

Clause 39.e voids the trades you profited on and enforces the trades you lost on, once VPFX suspects market abuse. Clause 23.ac lets VPFX apply a zero balance to your account if a deposit looks fraudulent on its face. Neither clause requires VPFX to explain itself first.

Profit at risk1 clause flagged

If a deposit seems fraudulent on its face, clause 23.ac lets VPFX apply a zero balance and equity to your account without telling you first.

Why this matters

VPFX decides what looks fraudulent, and the same clause lets it deny the withdrawal of any profits. Clause 23.ad then has you release VPFX from all liability for doing it.

Exhibit 7CriticalHarder than usual

The Client further acknowledges that if on the face of it any deposit seems to be fraudulent, the Company shall have the right without prior notice to do what is reasonable to mitigate the risks including, without limitation:

VPFX advertises protections its own contract takes back

Five VPFX claims do not survive the contract. Its forex page lists negative balance protection while clause 9.i makes you cover any deficit. Its safety of funds page says it will not invest your money while clause 15.f takes the right to pledge it. The homepage calls VPFX multi regulated, and the documents name one licence.

Promise against contract2 clauses flagged

The account types page shows a 50% stop-out level on the entry Standard account. The Risk Disclosure says 30%, and the Client Agreement says 20%.

Why this matters

That level decides when VPFX closes your positions. Planning around 50% while the contract allows 20% leaves your loss to run much further than you expected.

Exhibit 8WarningHarder than usual50%

If at any time Equity is less than 20% of the Necessary Margin, the Company has the right to close any or all of the Client’s Open Positions at any time without the Client’s consent or any prior Written Notice to him/her.

What it costsWith $1,000 of margin in use, a 50% stop-out triggers at $500 of equity. The Risk Disclosure's 30% triggers at $300, and the contract's 20% at $200.

Set against a regulated standard: FCA (UK), ESMA (EU)

Firms licensed by the FCA and others under ESMA rules must close a retail CFD account out when margin reaches 50% of the margin required. This contract permits positions to run to 20%.

VPFX is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

VPFX tells you on its homepage that it is registered with multiple regulatory authorities around the world. Its documents name one licence for the company you contract with.

Why this matters

The only other licence VPFX names belongs to a UAE company that cannot hold your money and is not party to your contract. Your money, your law and your arbitration are all in Labuan, Malaysia.

The fees that cost you money live where VPFX can change them

A 2.50% card withdrawal fee and a 40 USD bank withdrawal fee appear on VPFX's withdrawal page and in none of its seven legal documents. Clause 23.ap lets VPFX raise them to any amount it believes necessary, without notice. Clause 22.g lets it vary charges without asking you at all.

Cost disclosure3 clauses flagged

A bank withdrawal costs you 40 USD and a card withdrawal 2.50%. Both numbers live on a web page, and no VPFX legal document states either one.

Why this matters

Clause 23.ap lets VPFX raise those fees to any amount it believes necessary, with no notice and no consent from you. The deposit page shows No Fees against every method.

Exhibit 9WarningHarder than usual2.5%

Ventura Prime FX reserves the right to impose withdrawal limits and withdrawal fees in its system.

What it costsWithdraw $1,000 to a card at 2.50% and $25 goes in fees. The same $1,000 by bank wire costs 40 USD, so $960 reaches you.

Set against a regulated standard: FCA (UK), CySEC (Cyprus)

Firms licensed by the FCA and CySEC must disclose costs and charges to a retail client before they trade. These amounts appear only on a marketing page the contract lets VPFX change at will.

VPFX is not licensed by these regulators, so this is a comparison of practice, not a finding of any breach.

  • Worse together with Exhibit 4Fees VPFX can raise without notice come out of a withdrawal it can also decline without stating grounds.

Hold floating positions too long on a swap free account and VPFX can charge you backdated swaps. Clause 10.e reaches back to the day you opened the account.

Why this matters

The clause never says how long is too long, so you cannot tell when you have crossed it. Every position since you opened can be charged, not only the ones VPFX objects to.

Exhibit 11WarningHarder than usual

the client who commits these offenses will be charged with a backdated swap on all positions executed in his/her trading account from the date of opening the account till date, and must close the floating positions immediately.

Your deposited money earns no interest for you. Clause 24.b has you waive all right to it, and VPFX keeps what the bank pays.

Why this matters

On a large balance left idle this is a real amount, and it is normal across the industry. Clause 24.c also lets VPFX place your money in overnight deposits and keep that interest too.

Exhibit 20NoticeStandard wording

The Company shall not account to the Client for profits or interest earned on Client money (other than profit gained through trading Transactions from his/her Client Account(s) under this Agreement) and the Client waives all right to interest.

VPFX can change the deal on two business days notice

Clause 41.b lets VPFX amend the agreement on two business days of written notice. Clause 41.a makes your next trade the acceptance of it. Notice posted on VPFX's own web page counts as received by you one hour later, so you can agree to a change you never saw.

Unilateral powers1 clause flagged

VPFX can change the agreement on two business days of written notice. Your first trade after the change counts as your acceptance of it.

A VPFX dispute goes to three arbitrators seated in Malaysia

Where you sue1 clause flagged

Any dispute you bring goes to arbitration under Malaysian International Arbitration Centre rules, seated in Malaysia, before three arbitrators.

Why this matters

A three member panel is the expensive end of arbitration, and the seat is Malaysia whatever your own country. Clause 17.d has you waive every objection to it.

VPFX gives your verification two different deadlines

VPFX's withdrawal policy returns your deposit if identity checks are not finished within 15 days of your first deposit. Its anti-money-laundering policy allows up to 21 days for the same checks. Until they are done you can neither deposit nor withdraw.

Identity checks1 clause flagged

The withdrawal policy returns your deposit if identity checks are not done within 15 days. The anti-money-laundering policy allows up to 21 days for the same checks.

Why this matters

Until the checks are done you can neither deposit nor withdraw. Asking VPFX for a copy of the personal data it holds on you costs a fee the contract never names.

VPFX is your counterparty and your price source at once

Clause 37.a has VPFX acting as principal, which makes it the party on the other side of your trade. Clause 8.aj says it sets your quotes at its absolute discretion. Clause 8.a adds that it does not guarantee those prices are the best available.

In plain words

On a principal basis, as your counterparty, means the broker takes the other side of your trade itself. Your loss is then the firm’s gain, so it has an interest in how your trade ends.

Who you trade against1 clause flagged

VPFX is the counterparty to your trades, so it gains when you lose. It also sets the quotes you trade on at its absolute discretion.

Why this matters

No outside benchmark checks those quotes. Clause 8.a says VPFX does not guarantee its prices are the best available, and clause 8.ae promises your orders get the best market price.

Exhibit 14WarningHarder than usual

VPFX freezes an idle account rather than charging it

Six months without trading makes a VPFX account dormant and frozen, and twelve months counts as closed. No fee is charged, which is better than most brokers manage. Clause 13.m still blocks any further transaction, including a withdrawal, until you redo identity checks, fund the account and place one trade.

In plain words

Dormancy means an account left unused.

Dormancy1 clause flagged

Six months without trading makes your account dormant, and VPFX freezes it at once. At twelve months it counts as closed. Getting back in needs fresh identity checks, a new deposit and one trade.

Why this matters

A frozen account blocks withdrawals too, because clause 13.m bars any further transaction. You have to put money in and trade before you can take your own balance out.

Exhibit 12WarningHarder than usual

VPFX publishes seven legal documents and binds you to more

VPFX's legal page carries seven documents. The contract and the risk disclosure point to three more: a conflicts of interest policy, an order execution policy and a credit card disclaimer policy. None of the three is published. The anti-money-laundering policy describes a company formation business under another country's statutes, and no compensation scheme is named anywhere.

Document set2 clauses flagged

The contract binds you to a conflicts of interest policy, an order execution policy and a credit card disclaimer policy. VPFX's legal page publishes none of the three.

Why this matters

You cannot read what you agreed to. Best execution and conflict handling are exactly where a broker's duties to you would be written down.

Exhibit 17WarningHarder than usual3

Where it sits: section 2 of 48 in the Risk Disclosure Notice, near the start.

VPFX's anti-money-laundering policy defines its own services as forming companies and providing nominee shareholders. It names the reporting agency and criminal statutes of a different jurisdiction.

Why this matters

This is the document that governs how VPFX checks you and what it reports about you. You cannot tell from it which procedures actually apply to a trading account.

Where it sits: section 4 of 123 in the AML Policy, near the start.

Our readingThe policy is a template for a corporate services provider, kept almost intact. Its definitions, its reporting agency and its criminal statutes belong to another jurisdiction, so the procedures a client is pointed to are not the ones a Labuan money broker runs.

Every VPFX withdrawal is a request the firm can simply decline

Clause 23.l lets VPFX decline any withdrawal at its absolute discretion and name no grounds for it. No VPFX document sets a deadline for paying you: the policy only says expect 2 to 7 business days once the money is sent. Each deposit must also come back through the channel it arrived on.

Exit conditions1 clause flagged

Money returns to the card, wallet or bank account it came from. VPFX also requires you to withdraw the full amount of a deposit through that same channel before using another method.

Why this matters

A closed card or a dead wallet becomes your problem, not VPFX's. The same source rule is standard anti-money-laundering practice, and the policy then reserves sole discretion to pay you somewhere else.

Exhibit 19NoticeStandard wording

The Client agrees that when making a deposit of a certain amount through a specific bank account and/ or card and/or electronic wallet, will be obliged to withdraw the full amount of that specific deposit from that specific bank account and/or card and/or electronic wallet before using another withdrawal method.

You contract with Ventura Prime FX Limited, a money broker licensed in Labuan, Malaysia under number MB/20/0046. Clause 1.c states that the UAE company introducing VPFX there is not a contracting party and holds no client assets. The documents give the registration number two ways, L16224 in the agreement and LL16224 in the footers of the other files. No compensation or investor protection scheme is named in any of the seven documents.

Quotations are copied verbatim from the documents named above, with the clause number and the page each one came from. Where a clause is quoted in another language, the original is shown first and the English is a translation.

The plain-language parts, what a clause means for a client, how ordinary it is, and how it reads against a regulated standard, are WIKILIX's analysis and are labelled as such on every card. This is a reading of public documents, not legal advice and not an allegation of wrongdoing.

In fairness, and what we could not check

A reader who knows the edges of the work can trust the middle of it

The footer on every VPFX page states plainly that its UAE company cannot hold client money and that all client services come from the Malaysian entity. Few brokers with a split like that say so. Dormant accounts are frozen, not charged: no inactivity fee appears anywhere in the seven documents. The complaint process sets real timelines, a three business day acknowledgment, a reference number and a named route to the Labuan regulator. Clause 8.e, which lets VPFX claw back historic profits, is limited to profits it can document came from price abuse, rather than suspicion alone. Clause 10.b lets you leave a swap free account without giving any reason. All seven legal documents are free, public and open without a login.

We read the whole Client Agreement except its closing glossary. Terms it defines there, including scalping and pip hunting, are not quoted here. We did not read the earlier copies of five documents: the AML policy, the risk disclosure, the deposit and withdrawal policy, the privacy policy and the complaint process. Their fingerprints match today's files exactly, so we know those five have not changed since September 2024. The 40 USD and 2.50% withdrawal fees appear only on VPFX's withdrawal page. We cannot tell you what they were before or when they changed. VPFX's other languages come from a translation widget on its own pages, so there is no separate Hindi, Filipino or Vietnamese contract to compare. We did not examine the insurance certificate offered on the safety of funds page, and we did not open the client portal, so anything shown only after sign up is outside this reading.

How to check any of this yourself

Every quote above links to the VPFX file it came from. This is what to do with it.

Open the three stepsFind the words in the source, work out the fingerprint, and read what a difference does and does not prove.

Open the source and search for the words

Every quote has a link under it. Open the file, or the web page, and search it for the words we quote. The clause number next to the quote tells you where to look.

If the words are not there any more, the source may have changed after we read it. That is worth knowing too. We keep the date we read it, and a code worked out from its wording, so the quote stays checkable.

What a fingerprint is

A fingerprint is a code worked out from what a source says. Change one word and the code changes completely. We keep two codes for every file we read, and the panel on each source shows both.

The first is the code of the exact file we downloaded. The second is the code of its wording alone, with capital letters lowered and runs of spaces collapsed. When the same words are saved as a new file, the first code changes and the second one stays the same.

Only the first code can be worked out on your own computer. Save the file, then run one of these, putting the name of the file you saved where the example is. The panel on each source prints the command with that source's real file name already in it.

macOS or Linux:
  shasum -a 256 the-file-you-saved.pdf

Windows:
  certutil -hashfile the-file-you-saved.pdf SHA256

The two codes are different from each other, and they are not meant to match. Comparing one against the other proves nothing.

What a difference means, and what it does not

A different file code on its own proves nothing. A PDF saved again with a new date inside it is a new file saying exactly the same thing.

A different wording code means the words themselves changed. That is the one that matters, and it is why we keep it.

Even then, a change is not proof of bad faith. Companies update their documents. What this report says is what the document said on the day we read it, and every quote carries that date.

A source that is a web page and not a file has no file to save, so only the code of its wording is shown.

How this report is made

Every clause quoted above comes from a document VPFX publishes on its own website, downloaded and hashed on the date shown, with the clause number and page recorded so any reader can check it. We do not allege anything the documents do not say, and we do not judge VPFX on anything other than its own published terms and its own public marketing. Where a clause has a qualifier that softens it, the report says so. Last read Oct 5, 2026.

If you represent VPFX and a clause has changed, been withdrawn, or is being read out of context, tell us and we will re-read the documents and update this page. Corrections from the broker are welcome and are published with the reading they change. Contact us.

This is a reading of a contract, not legal advice and not a ruling on VPFX. Whether its licence is real and current is a separate check on the broker profile.
